A Well-Known American Apparel Company in Midtown Manhattan is seeking a new Full-Time/Permanent Executive Assistant to support the Executive Vice President, General Counsel & Secretary. This role is privy to the most sensitive information and confidential aspects of the business, is a liaison and a primary conduit of confidential and routine communication between the EVP, General Counsel & Secretary and internal and external audiences, including outside counsel, opposing counsel and the members of the Board of Directors. Candidates must have a minimum of 5-7+ years of applicable high-level administrative experience, ideally supporting a C-level executive, and a Bachelor’s degree is required. Must have career/resume stability and experience coordinating and liaising with Board of Directors (required)! Ideal candidate will be polished and professional, extremely organized, detail-oriented, proactive, confidential/discreet, and possess excellent interpersonal and communication skills (both verbal and written). - Hours are 9:00am – 6:00pm, with flexibility as needed. Hybrid work schedule (4 days in office / 1 day remote – Fridays WFH).
Responsibilities:- Provide high-level executive administrative support to the Executive Vice President, General Counsel & Secretary.
- Prepare various documents, agreements, secretary’s certificates, officer’s certificates, etc.
- Coordinate contract signatures and other project documents, including using Docusign.
- Draft and distribute correspondence.
- Enroll or renew memberships and subscriptions, as well as prepare and submit expense reports.
- Manage corporate travel and meetings by developing itineraries and agendas, booking transportation, arranging lodging, and coordinating meeting accommodations.
- Monitor email and telephone.
- Schedule virtual and in-person meetings, arranging meeting space and ordering catering when required.
- Help to prepare and maintain the Board of Directors and Board Committee meeting calendar and communicating with directors and their executive administrators regarding scheduling.
- Plan and coordinate periodic Legal Summits for team members in the U.S. and from all international offices; team building events; group activities.
- Arrange regular meetings with direct reports to the Executive Vice President, General Counsel & Secretary, the Legal Leadership Team, the Legal team members in the U.S., and the global Legal team.
- Work with Legal team members relating to the preparation, execution via Diligent, and filing via Workiva of Section 16 beneficial ownership reports; maintain EDGAR codes for directors and Section 16 officers, as well as coordinate with other public companies where any of these individuals are officers or directors.
- Work with Legal team members, External Reporting team members, and Total Reward team members on SEC filings through Workiva.
- Prepare and distribute blackout/trading window emails and maintain lists of blackout group members; coordinate with Stock Plan administrator.
- Process and distribute quarterly audit response letters to external auditor and coordinate with outside counsel on annual audit response letters, including preparation of GC letters to outside counsel.
- Handle subsidiary minute books and all matters related thereto.
- Coordinate workload and other Legal team matters with other team support staff.
Required Qualifications:- Minimum 5-7+ years of applicable high-level administrative experience, ideally supporting a C-level executive (experience in legal is a plus).
- Bachelor’s degree required.
- Required experience coordinating and liaising with Board of Directors.
- Extremely discrete/confidential.
- Proactive, organized, and detail-oriented.
- Proficiency in MS Office Suite (Outlook, Word, Excel, PowerPoint)
- Experience with Diligent Boards or similar Board portal desired.
- Experience with Workiva or other SEC reporting platform.
- Notary Public license in New York a plus.
